TERMS OF SERVICE & END USER LICENSE AGREEMENT (EULA)

PREAMBLE: THE PARTIES These Terms of Service ("Terms") constitute a binding legal agreement between:

• The Publisher: Lamberto Iezzi (operating under the commercial brand "The Decision Protocol Institute"), located in Venice, EU (VAT: IT04386320271).

• The Licensee: You, the individual or entity purchasing or downloading the frameworks.

By purchasing or downloading any "Decision Protocol™" asset, you acknowledge that you are a B2B professional and accept these terms in full.

1. NATURE OF THE SERVICE (PUBLISHING, NOT LEGAL ADVICE)

1.1. Educational Purpose: The Decision Protocol Institute is a specialized publisher of operational risk frameworks. We are not a law firm, and our products are not legal advice.

1.2. No Attorney-Client Relationship: use of our templates does not create an attorney-client relationship. The frameworks are "drafting tools" designed to structure your internal decision-making.

1.3. User Responsibility: You are solely responsible for the final customization of these documents. We strongly recommend that any final policy be reviewed by qualified local counsel before deployment.

2. LICENSE GRANT & INTELLECTUAL PROPERTY

Upon purchase, the Publisher grants you a non-exclusive, non-transferable, worldwide license subject to the specific tier purchased:

A. STANDARD LICENSE (Internal Use Only)

• Rights: You may use the files for your own organization's internal compliance.

• Restrictions: You may NOT use these files to provide paid consulting services to third parties. You may not resell, redistribute, or publish the source files.

B. AGENCY LICENSE (Commercial / White-Label Rights)

• Target Audience: Consultants, Advisors, Agencies.

• Rights: You may use the frameworks to deliver paid advisory projects for your clients. You are permitted to remove "The Decision Protocol Institute" branding and replace it with your own firm's logo ("White-Labeling") on the final deliverables presented to the client.

• Strict Prohibitions: You may NOT resell the raw templates as a standalone digital product (e.g., you cannot set up a store to sell our Excel/Word files). The value you sell must be your "Advisory Service," not the file itself.

3. "THE PROTOCOL CIRCLE" MEMBERSHIP & BUNDLE TERMS

If you purchase the Agency License, you are automatically enrolled in the "Protocol Circle" membership under the "Bundle Offer":

3.1. The Bundle Offer:

• First 6 Months: Complimentary (included in the $997 license fee).

• Renewal: After 6 months, the membership automatically renews at the preferential rate of $98.00 USD per quarter.

• Billing: The fee is charged to the payment method on file via our Merchant of Record (Lemon Squeezy).

3.2. Cancellation Policy:

You may cancel the membership at any time with zero penalties.

• How to Cancel: Use the link in your purchase receipt email or access the "Customer Portal" via Lemon Squeezy.

• Effect of Cancellation: You retain all downloaded files forever. You simply stop receiving new quarterly updates and lose the 50% VIP discount on future products.

4. PAYMENT & REFUNDS

4.1. Merchant of Record:

All payments are processed and secured by Lemon Squeezy. They are the entity that will appear on your bank statement.

4.2. Refund Policy (14-Day Guarantee):

Unlike many digital goods providers, we stand behind the operational quality of our frameworks.

We offer a 14-Day Money-Back Guarantee. If the Decision Protocol™ does not meet your professional standards for procedural due diligence, you may request a full refund within 14 days of purchase by emailing office@decisionprotocolinstitute.com.

• Refunds are processed without friction.

• Requests made after the 14-day window will be considered final and non-refundable.

5. LIMITATION OF LIABILITY (READ CAREFULLY)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

5.1. THE PUBLISHER (LAMBERTO IEZZI & THE DECISION PROTOCOL INSTITUTE) SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF THESE FRAMEWORKS, INCLUDING BUT NOT LIMITED TO: REGULATORY FINES (SUCH AS THOSE UNDER THE EU AI ACT), LOSS OF BUSINESS, OR LITIGATION COSTS.

5.2. THE PROTOCOLS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

5.3. IN NO EVENT SHALL THE PUBLISHER'S TOTAL LIABILITY EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE PRODUCT (E.G., $997).

6. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of Italy (EU). Any dispute arising from these terms or the use of the products shall be subject to the exclusive jurisdiction of the Court of Venice (Foro di Venezia).
